Question: Can an individual sue my closed down LLC and me personally? I have no assets with this business.
Answer: If you have a valid claim and seek relief, you can sue anyone for any reason. As long as the person has some "standing" in the lawsuit. I will try to put this is general terms...standing is defined as "a person having a legal right to file the lawsuit." The party needs to have been "injured" in some way (not just physical) and the lawsuit will bring a remedy for the injury. The Rules of Civil Procedure attempt to prevent lawsuits with no merit and the filing attorney should conduct due diligence to insure there is a valid claim. I would recommend you contact an attorney and go over what the claim for the lawsuit is to determine how to proceed.
